Bylaws: Updated June 17, 2016

ARTICLE I. Name, Publications, Mailing Address

  1. Name: The organization shall be called the Wyoming Occupational Therapy Association, herein referred to as WYOTA.
  2. Publication: Social media platforms and website changes are made monthly as new information is received.
  3. Mailing Address: The post office address for the Association shall be that of the WYOTA President or that designated by the WYOTA President.

ARTICLE II. Objectives

  1. Objectives of WYOTA
    1. To collaborate with the American Occupational Therapy Association herein after referred to as AOTA®, to carry out common objectives of the profession at the state level.
    2. To advocate occupational therapy in legislative and public arenas.
    3. To advance the standards of education and practice in occupational therapy.
    4. To promote research.
    5. To engage in other activities considered advantageous to consumers, the profession and its members and consistent with stated objectives of AOTA®.

ARTICLE III. Membership

  1. Membership Classifications and Qualifications. The membership in WYOTA shall be divided into four classes.
    1. Occupational Therapist (OT): One who has met educational and qualifying standards set by AOTA® and who is eligible to be certified by the National Board of Certification in Occupational Therapy.
    2. Occupational Therapy Assistant (OTA): One who has met educational and qualifying standards set by AOTA® and who is eligible to be certified by the National Board of Certification in Occupational Therapy.
    3. Occupational Therapy Student: One who is enrolled in an approved or accredited educational program leading to the qualifications of OT or OTA. In determining membership status, those qualified as OT or OTA and who are engaging in advanced or continuing education are not classified as students.
    4. Non-OT: An individual or corporation who is interested in promoting occupational therapy but who is not eligible for membership in another membership class
  2. Rights and Privileges of Members
    1. Occupational Therapist:
      1. May vote in affairs of WYOTA.
      2. Shall be eligible to hold an office for which they are qualified.
      3. May serve on committees.
    2. Occupational Therapy Assistant:
      1. May vote in affairs of WYOTA.
      2. Shall be eligible to hold an office for which they are qualified.
      3. May serve on committees.
    3. Students:
      1. May vote in affairs of WYOTA.
      2. May serve on committees but not as chair.
      3. May qualify for reduced student rates for the WYOTA sponsored events and activities.
    4. Non-OT:
      1. Are not eligible to vote.
      2. May serve on committees but not as chair.
  3. Members in Good Standing
    1. Meets the qualifications for membership in the appropriate class.
    2. Has paid the stipulated fee.
  4. Dues and Assessments: Dues are payable upon yearly anniversary date of WYOTA membership.

ARTICLE IV. Executive Board

  1. Executive Body: The Executive Body of WYOTA shall be known as the Board.
  2. Composition: The Board shall consist of the President, Vice President, Secretary, Treasurer, an AOTA® Representative, Legislative Chair, A Student Liaison from an OTA Program and a Student Liaison from and OT program, who serve with voice and vote. Committee chairpersons are invited to attend the meetings with voice and vote. The President may include other resource people serving without vote.
  3. Quorum: Fifty percent of the voting members of the Board shall constitute a quorum.
  4. Meetings: The Board shall meet often enough to conduct business but at least once a year, a face-to-face meeting shall be held in conjunction with the annual business meeting. Other meetings may take place through conference call or other electronic means. A summary of the minutes shall be published on the WYOTA website.
  5. Duties.
    1. Be responsible for the adherence to the WYOTA Bylaws.
    2. Establish policies and standard operating procedures for management of the WYOTA.
    3. Act on all matters involving member interests which require immediate attention. All actions of the Board shall be subject to membership approval at the next meeting of the Association.
    4. Create such standing committees and task groups as may be deemed necessary, or terminate the existence of committees or task groups no longer necessary.
    5. Establish the financial program of the Association.

ARTICLE V. Officers

  1. Officers of WYOTA: President, Vice President, Secretary, Treasurer and Legislative Chair.
  2. Elections: Officers shall be elected from the membership at large during annual fall conference business luncheon.
  3. Eligibility:
    1. All officers must be members in good standing with WYOTA and AOTA®, and reside in the State of Wyoming.
    2. The terms of the offices shall be four years. The terms of the President and Treasurer shall begin in even years. The terms of the Vice-President, Secretary and Legislative Chair shall begin in odd years.
    3. The President may not serve on the Board in that capacity for more than two consecutive terms, unless voted on by membership at large.
    4. Holding office for 365 days or more constitutes serving a full term.
  4. Vacancies in Office:
    1. In case of a vacancy in the office of President, The Vice President shall serve the remainder of the term.
    2. In the event of a vacancy in the offices of Vice President, Secretary or Treasurer, the President shall appoint within thirty days a replacement to complete the term of office, with the confirmation of the Board.
  5. Duties: The duties of the officers are described in Robert's Rules of Order, Revised. In addition:
    1. The President shall:
      1. Submit a written report at the Annual Business Meeting outlining Board and membership activities for the past year.
      2. Guide and conduct the activities of the Association consistent with the policies and the priorities of AOTA®.
      3. Be the primary Officer of the Association and shall preside at meetings of the Association membership and the Board.
      4. Attempt to attend the annual meetings of AOTA® or appoint an alternate to attend in his/her place.
      5. Be responsible for information exchanged between AOTA®, the Association, and the membership.
      6. Have the power to sign all written obligations of the Association.
      7. Within 30 days after the election of officers, send a complete list of the newly elected officers to AOTA®.
      8. Promptly report to AOTA® any change in elected officers or representative, and/ or any changes in their address or personal data that may occur during the year.
      9. Notify the membership of election results in the next scheduled WYOTA Newsletter, website or social media.
    2. The Vice President shall:
      1. Carry out the Presidential duties in the absence of the President.
      2. Serve as a member of the Board.
      3. Serve as Parliamentarian at all meetings
    3. The Secretary
      1. Be responsible for the minutes of business meetings of the Association and the Board.
      2. Serve as a member of the Board.
      3. Maintain a copy of the current Bylaws of the Association and provide AOTA® with a copy.
      4. File any changes in the Bylaws with AOTA®, within 30 days of the change.
      5. Keep a record of election schedule and notify the Board when elections are to be held.
      6. Conference duties including printing, mailing, labeling, and/or appoint other members for conference duties.
      7. Maintain roster for active members with WYOTA.
    4. The Treasurer shall:
      1. Be bonded with the expense of said bonding being borne by the Association.
      2. Serve as a member of the Board
      3. Be responsible for the deposit of dues and other monies paid into or belonging to the Association, keep the accounts, disburse the funds and are empowered to sign the checks for the Association.
      4. Report on financial statement at the annual meeting, and at other times as requested by the President.
      5. Coordinate financial programs in conjunction with the Board.
      6. Prepare a break-even analysis after annual conference.
      7. Treasurer shall archive information obtained and created by WYOTA.
    5. Elections
      1. A call for nominations will be announced prior to the Annual Business Meeting. Nominations will be submitted to the President or a designee and will be closed at the Annual Business Meeting.
      2. Voting will take place at the Annual Business Meeting. Votes will be cast on a pre-printed ballot. Each voting member shall be entitled to one ballot. The ballot shall be destroyed after the count. The Board shall determine the process for counting and recording the vote. A simple majority of votes cast shall determine the winner of the election.

Article VI. Association Meetings.

  1. Annual Meetings: There shall be an Annual Business Meeting of the members held in conjunction with the WYOTA Annual Conference.
  2. Educational Meetings: A meeting for the purpose of carrying out educational objectives of the membership shall be held each fall and shall be planned by the Annual Conference Committee.
  3. Special Meetings: Special meetings of the members may be called at any time as deemed necessary by the President or any six voting members. Members will be notified of the time, place, and topic of the meeting by the President or by any member designated by the President. Only the business stated on the notification shall be transacted at this meeting.
  4. Quorum: Twenty percent of the voting membership shall constitute a quorum and must be present for votes that affect the membership as a whole.
  5. Voting: At any annual, special or regular meeting of the members all votes shall be cast in person and each individual voting member in good standing shall have one vote.

Article VII. AOTAu00ae Representatives.

  1. AOTA® Representatives.
    1. The purpose of the AOTA® Representative and is to represent the AOTA® members in Wyoming, in the formation and adoption of AOTA® policy.
    2. The AOTA® Representative shall serve as a channel for identification and clarification of issues of concern to the profession and shall take appropriate action on behalf of their constituents. They shall communicate the results of the Assembly actions to their constituents.
    3. The AOTA® Representative shall be elected in accordance with AOTA® Bylaws and procedures adopted by the Assembly.

Article VIII. Committees.

  1. Formation: The Board may create committees as necessary to insure the general welfare of the organization.
  2. Chair: The Committee Chair shall be appointed by the President with approval of the Board.
  3. Composition: Composition of each committee shall be at the direction of the Chair.
  4. Types: Committees may include but are not limited to:
    1. Legislative Committee
    2. Special Interest Committee
    3. Annual Conference Committee
    4. Membership Committee

Article IX. Standards and Ethics

  1. mbers of the Association shall carry out their personal duties in accordance with the published AOTA® Standards and Ethics and licensure laws of the State of Wyoming.

Article X. Fiscal Year

  1. al year of the Association shall be from October 1st to September 30th.

ARTICLE XI. Parliamentary Authority

  1. Parliamentary Authority: The current edition of Robert's Rules and Order, Newly Revised shall govern all proceedings of WYOTA not covered by the Bylaws, policies, or standard operational procedures of the Association.

ARTICE XII. Amendments and Resolutions

  1. Amendments:
    1. These Bylaws may be amended or revised by majority vote of the membership at the Annual Business Meeting by printed ballot with the members name included.
    2. The Bylaws shall be reviewed at least every five years by the Board to determine the need for revision. The Board shall have the authority to make technical, editorial and clerical corrections to keep the Bylaws consistent without calling a vote of the voting members.
  2. Resolutions:
    1. A resolution is the means for establishing policies for the Association and shall not conflict with the Bylaws, nor require a Bylaw amendment.
    2. A resolution may be submitted to the membership, by any member or group of members in specific written form, at any of the schedule general meetings. A resolution is approved and becomes binding with a majority vote of the membership.
